Toledah Technologies SaaS Subscription Agreement
Version 1.0 — 2026
This Software Subscription Agreement (“Agreement”) governs the use of software and services provided by Toledah Technologies Ltd (“Toledah”, “we”, “us”, or “our”).
By accessing or using any Toledah services, including Zaena ERP or any other software products developed by Toledah, the customer (“Customer”, “User”, or “you”) agrees to be bound by the terms of this Agreement.
1. Term of the Agreement
- This Agreement begins on the date the Customer first subscribes to or accesses the Services.
- The Agreement remains in effect until:
- the subscription is terminated by the Customer, or
- the subscription is terminated by Toledah according to this Agreement.
- Subscriptions may renew automatically depending on the selected billing plan.
2. Definitions
Service
Any software, platform, application, or digital infrastructure provided by Toledah Technologies.
Software
Any application developed by Toledah including but not limited to Zaena ERP.
User
Any individual authorized by the Customer to access the Software.
Subscription Plan
A paid or free service tier defining features, limits, and pricing.
Customer Data
All business data, records, and content uploaded or created by the Customer in the Software.
3. Access to the Software
Toledah grants the Customer a limited, non-exclusive, non-transferable license to access and use the Software for business purposes during the subscription period.
The Customer agrees not to:
- reverse engineer the software
- copy or resell the platform
- use the service for illegal activities
- interfere with platform security
Access may be suspended if the Customer violates these terms.
4. Services
Toledah may provide the following services during the subscription period.
4.1 Software Access
- Customers receive access to the selected software platform based on their Subscription Plan.
- Features may vary depending on the selected plan.
4.2 Updates and Improvements
Toledah may release:
- software updates
- security improvements
- new features
These updates may be applied automatically.
4.3 Support Services
Toledah may provide customer support through:
- in-app support
- documentation
- help desk systems
Response times are not guaranteed unless covered by a separate service agreement.
5. Charges and Fees
- Subscription fees are determined by the selected plan.
- Fees may depend on:
- number of users
- features enabled
- subscription duration
- Customers agree to pay all applicable charges for the services they use.
Payments may be processed through third-party providers such as:
- Paystack
- Monnify
Failure to pay subscription fees may result in service suspension.
6. Conditions of Service
Customers agree to:
- provide accurate account information
- maintain the security of their login credentials
- comply with applicable laws when using the platform
Customers are responsible for all activity occurring under their accounts.
7. Data Protection and Privacy
- Customers retain ownership of all Customer Data stored within the platform.
- Toledah may process Customer Data solely for the purpose of providing the Services.
- Toledah implements reasonable technical and organizational measures to protect customer data from unauthorized access, loss, or misuse.

8. Warranties and Disclaimers
The Services are provided “as is” and “as available.”
Toledah makes no guarantees that:
- the service will be uninterrupted
- the service will be error-free
- the service will meet all business requirements
To the maximum extent permitted by law, Toledah disclaims all implied warranties.
9. Limitation of Liability
To the maximum extent permitted by law, Toledah shall not be liable for:
- loss of profits
- loss of business data
- indirect or consequential damages
Total liability shall not exceed the amount paid by the Customer in the previous 12 months.
10. Termination
Toledah may suspend or terminate access to the Services if:
- the Customer violates this Agreement
- payment obligations are not met
- the service is abused or used illegally
Customers may terminate their subscription at any time according to their billing plan.
11. Force Majeure
Toledah will not be liable for service interruptions caused by events beyond its reasonable control including:
- internet outages
- government actions
- natural disasters
- cyberattacks
12. Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
Any disputes shall be resolved in the appropriate courts of Nigeria.
